Terms of Service

1Acceptance of these terms

These Terms of Service (“Terms”) govern your access to and use of the Muhkoo platform, websites, SDKs, APIs, developer portal, hosting, and related services (the “Service”), provided by Muhkoo Inc. (“Muhkoo,” “we,” “us”). By accessing or using the Service, or by clicking to accept, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organization, you represent that you are authorized to bind it.

2Definitions

• Developer: a user who builds or operates an application on Muhkoo.
• Application (or App): software a Developer builds using the Service.
• End User: a person who uses an Application built on Muhkoo.
• Content: data you submit, store, or transmit through the Service, including messages, files, and key/value records (most of which are end-to-end encrypted).

3Accounts & eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. Muhkoo accounts use zero-knowledge authentication: you are responsible for safeguarding your credentials and recovery factors. You are responsible for all activity under your account. Notify us promptly at security@muhkoo.com of any unauthorized use.

4The Service

Muhkoo provides an edge platform for secure, real-time applications, including zero-knowledge authentication, end-to-end-encrypted messaging and spaces, encrypted key/value and file storage, server-side AI agents, serverless functions, and application hosting. We may add, change, or remove features over time. Certain features require a paid plan.

5Alpha / beta releases

Parts of the Service are offered as alpha or beta releases. They are provided for evaluation, may be unstable or change without notice, may have defects, and may be modified or discontinued at any time. Do not rely on alpha/beta features for production-critical workloads without your own backups and safeguards.

6Acceptable use

You agree not to, and not to enable others to:

• Violate any law or the rights of others;
• Distribute malware, or attempt to breach, disrupt, or overload the Service or its security;
• Probe, scan, or test the vulnerability of the Service except under a program we authorize in writing;
• Reverse engineer or circumvent usage metering, rate limits, or access controls;
• Use the Service to store or transmit content that is unlawful, infringing, or that facilitates child sexual abuse material, harassment, or violence;
• Send unsolicited bulk communications (spam); or
• Resell or provide the Service in a way that competes with Muhkoo without authorization.

Because your Content may be end-to-end encrypted, we generally cannot review it; you remain solely responsible for it, and we may act on reports or metadata signals of abuse.

7Developer obligations

If you build Applications on Muhkoo, you are responsible for your Applications and your End Users. You must: comply with applicable laws (including privacy and consumer-protection laws); provide your End Users with your own terms and privacy notice; obtain any necessary consents; keep your API keys and secret keys confidential; and not use the Service in a way that could expose Muhkoo or other users to liability. You are the controller of your End Users' personal data; Muhkoo processes it on your behalf.

8Your content

You retain all rights to your Content. You grant Muhkoo a limited, worldwide, non-exclusive license to host, process, transmit, and display your Content solely as needed to operate and provide the Service to you. Because most Content is end-to-end encrypted, this license is largely operational: we handle ciphertext and metadata, not readable content. You are responsible for having the rights to your Content and for maintaining your own backups.

9Fees & billing

Paid plans are billed on a usage-based basis (and/or subscription, as described at checkout), through our payment processor, Stripe. You authorize us to charge your payment method for all fees, applicable taxes, and usage incurred. Usage is metered by Muhkoo and those measurements are, absent manifest error, definitive. Fees are non-refundable except where required by law. We may change pricing on notice; changes apply to future billing periods. If payment fails or an account is overdue, we may suspend or limit access. Free tiers and trials may have caps and may change or end at any time.

10Intellectual property

The Service, including its software, design, and the Muhkoo name and logo, is owned by Muhkoo and protected by intellectual-property laws. Except for rights expressly granted here, we reserve all rights. Our open-source components (for example, the @muhkoo/connect SDK) are licensed separately under their stated open-source licenses, which govern your use of that code. “Muhkoo” is a trademark of Muhkoo Inc.

11Third-party services

The Service integrates third-party providers (for example, Stripe for payments and other infrastructure and communications providers). Your use of those services may be subject to their terms, and we are not responsible for third-party services.

12Encryption & data loss

Muhkoo's zero-knowledge and end-to-end-encryption design means we cannot access your keys or decrypt your Content. If you lose your account credentials and all recovery factors, your encrypted data may be permanently unrecoverable, and we will be unable to restore it. You are responsible for maintaining your recovery factors and independent backups of important data.

13Suspension & termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, create risk or legal exposure, or if we discontinue the Service. We will make reasonable efforts to notify you. On termination, your right to use the Service ends; sections that by their nature should survive (including fees owed, IP, disclaimers, limitations of liability, and indemnities) will survive.

14Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA WILL NOT BE LOST. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME MAY NOT APPLY TO YOU.

15Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUHKOO AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). THESE LIMITS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

16Indemnification

You will defend, indemnify, and hold harmless Muhkoo and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Content, your Applications, your End Users, or your breach of these Terms or violation of law.

17Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. The state and federal courts located in Delaware will have exclusive jurisdiction over disputes not subject to arbitration, and you consent to their jurisdiction. Nothing here prevents either party from seeking injunctive relief to protect intellectual property or confidential information.

18Changes to the Service or these Terms

We may modify the Service or these Terms. When we make material changes to these Terms, we will update the “Last updated” date and, where appropriate, provide additional notice. Changes are effective when posted (or on a later stated date). Your continued use of the Service after changes take effect constitutes acceptance.

19Miscellaneous

These Terms, together with the Privacy Policy and any plan-specific terms, are the entire agreement between you and Muhkoo regarding the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control (force majeure).
